Terms of Service

1. Acceptance

By accessing or using TextSpeakPro (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service. Your continued use of the Service after any changes to these Terms constitutes acceptance of the revised Terms.

These Terms constitute a legally binding agreement between you ("you," "your," or "User") and TPS Worldwide LLC ("TextSpeakPro," "we," "us," or "our"), the operator of textspeakpro.com.

2. Eligibility

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. Voice cloning features are available only to users 18 years of age or older. By using the Service, you represent and warrant that you meet these age requirements.

3. Service Description

TextSpeakPro is a web-based text-to-speech platform that converts text into audio using third-party AI engines. The Service is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We do not guarantee the accuracy, reliability, completeness, or quality of any content generated through the Service. Service functionality, features, voices, and availability may change at any time without notice.

4. Third-Party AI Providers

Text-to-speech audio is generated by third-party providers, currently including Microsoft Azure Cognitive Services and Inworld AI. When you submit text for speech generation, your text is transmitted to these providers for transient processing solely to generate audio. Voice cloning audio samples are also processed by these providers. We do not allow providers to use your text or voice samples to train models, and we do not retain your input after audio is generated.

Service quality and availability depend on these third-party providers. TextSpeakPro does not control the internal operations, uptime, performance, or data handling practices of third-party providers beyond our contractual agreements with them. We are not responsible or liable for any failure, outage, degradation, or change in service caused by third-party providers. By using the Service, you acknowledge and consent to this processing.

5. Voice Quality & AI-Generated Content Disclaimer

TextSpeakPro makes no guarantees regarding the quality, accuracy, naturalness, consistency, or suitability of AI-generated voices or audio output. Voice quality, speed, pronunciation, and naturalness may vary based on language, voice selection, text content, text length, system load, browser, device, network conditions, and third-party provider performance. Premium and Studio voices may offer higher quality, but results are not guaranteed to be identical or consistent across inputs, sessions, or time periods.

AI-generated content is not guaranteed to be error-free, perfectly natural, free of artifacts, or suitable for any specific purpose. AI-powered features may produce inaccurate, unexpected, distorted, or inconsistent results. You are solely responsible for reviewing all generated content before professional, commercial, or public use. We accept no liability for any consequences arising from the use of AI-generated audio, including but not limited to reputational harm, financial loss, or legal liability.

Voices, features, languages, and audio quality may change, be updated, degraded, or become temporarily or permanently unavailable without notice as third-party providers update their offerings. TPS Worldwide LLC reserves the right to add, modify, or remove voices, features, and capabilities at any time. We make commercially reasonable efforts to maintain broad voice availability but do not guarantee uninterrupted access to any specific voice, language, feature, or quality level.

No refunds, credits, or compensation will be provided for variations in voice quality, temporary or permanent loss of specific voices or features, audio artifacts, pronunciation errors, or any other quality-related issues.

6. Service Availability, Maintenance & Downtime

TextSpeakPro may be temporarily or permanently unavailable due to scheduled maintenance, unscheduled maintenance, server issues, third-party provider outages, network failures, security incidents, infrastructure changes, or other technical issues. We will make reasonable efforts to notify users of planned maintenance when feasible, but are not obligated to do so.

We are not liable for any loss, inconvenience, damage, lost revenue, missed deadlines, or any other harm resulting from service interruptions, degradation, or unavailability, whether planned or unplanned, temporary or permanent. No refunds, credits, service extensions, or compensation of any kind will be provided for any period of service unavailability or degraded performance, regardless of duration or cause.

The API (available to Studio plan users) is subject to the same availability limitations. We do not guarantee any specific uptime percentage, service level agreement (SLA), response time, or performance benchmark.

Users should maintain local copies of any important generated audio files and should not rely on the Service as their sole storage for any content. TPS Worldwide LLC is not responsible for the loss of audio files stored on our servers due to technical issues, data corruption, account termination, service changes, or any other reason.

7. Accounts & Anonymous Usage

You may use the free tier without creating an account. Anonymous usage is metered via a randomly generated identifier stored in your browser. If you create an account, you are responsible for maintaining the confidentiality and security of your credentials. You are responsible for all activity that occurs under your account. Notify us immediately at support@tpsworldwidellc.com if you believe your account has been compromised.

One account per person. Automated, bot, or fraudulent signups are prohibited and will be terminated. Creating multiple accounts to circumvent usage limits, exploit free tiers, or abuse any Service feature is prohibited.

8. Plans & Pricing

TextSpeakPro offers four plans:

• Free ($0): 5,000 characters per month, max 2,000 per request, free voices only, streaming only (no downloads), ad-supported, personal non-commercial use only, no voice cloning, no API access, no WAV output, no Translate & Speak.
• Starter ($4/month + tax, or $40/year): 150,000 characters per month, max 5,000 per request, Starter voices, MP3 + WAV downloads, commercial use allowed, no voice cloning, no API, no Translate & Speak. Top-up: +100,000 characters for $3.
• Pro ($9/month + tax, or $90/year): 350,000 characters per month, max 10,000 per request, Starter + select Pro voices, faster queue, generation history export, MP3 + WAV, Translate & Speak, no voice cloning, no Studio voices, no API, eligible for top-ups. Top-up: +300,000 characters for $7.
• Studio ($15/month + tax, or $150/year): 750,000 characters per month, max 20,000 per request, all voices (Starter + Pro + Studio), voice cloning, API access, priority queue, generation history export, MP3 + WAV, Translate & Speak, eligible for top-ups. Top-up: +1,000,000 characters for $20.

Pricing, character limits, features, voice availability, and plan inclusions are subject to change at any time with reasonable notice. Limits reset monthly, aligned to your Stripe billing cycle. Prices shown are before applicable tax. You are responsible for all applicable taxes, fees, and charges associated with your use of the Service.

Upgrades: When you upgrade to a higher plan, the change takes effect immediately. You are charged a prorated amount for the remainder of your current billing cycle.

Downgrades: When you downgrade to a lower plan, the change takes effect at the end of your current billing cycle. You retain access to your current plan's features until the cycle ends. No partial refund is issued for the remaining days on the higher plan.

All plan changes (upgrades and downgrades) are managed through the Stripe billing portal accessible from your Account page.

9. Character Top-Ups

Paid plan subscribers may purchase additional character top-ups when their monthly allocation is exhausted. Each plan tier has one specific top-up option:

• Starter plan: +100,000 characters for $3.00 (one-time).
• Pro plan: +300,000 characters for $7.00 (one-time).
• Studio plan: +1,000,000 characters for $20.00 (one-time).

Top-up characters are non-refundable, non-transferable, and have no cash value. Top-up characters do not expire as long as the account remains active. Top-up characters are consumed only after the monthly plan allocation is fully exhausted. Top-ups are available only when the user's current monthly character allocation has been depleted. Top-ups are not available on the Free plan.

10. Payments, Refunds & Billing Disputes

Paid plans are billed monthly or annually via Stripe. Top-up purchases are processed as one-time payments via Stripe. Stripe Automatic Tax is enabled where applicable; prices are shown as "$X/month + tax where applicable."

Annual Billing: Annual plans are billed as a single upfront payment for 12 months of service. Annual plans may be cancelled at any time, but no partial refund is issued for the remaining months. Upon cancellation, the plan remains active until the end of the paid annual period, after which it reverts to the Free plan.

Upgrades: Charged immediately on a prorated basis. You pay only the price difference for the remaining days in your current billing cycle.

Downgrades: Take effect at the end of your current billing cycle. You keep your current plan's features until then. No partial refund is issued for unused days on the higher plan.

Cancellations: You can cancel your subscription at any time. Your plan remains active until the end of the current billing cycle, after which it reverts to the Free plan. No prorated refund is issued for the remaining days.

Refunds: All subscription payments are generally non-refundable. Refund requests within 7 days of the initial subscription purchase (first-ever payment only) will be considered on a case-by-case basis at our sole discretion. Recurring monthly charges, prorated upgrade charges, and top-up purchases are non-refundable under any circumstances. Billing error refund requests will be reviewed on a case-by-case basis within 30 days of the charge. No refunds or credits will be issued for service interruptions, downtime, voice quality issues, feature changes, third-party provider outages, or any dissatisfaction with the Service.

Chargebacks: Filing a chargeback or payment dispute with your bank or credit card company without first contacting us at support@tpsworldwidellc.com may result in immediate account suspension pending investigation. We reserve the right to pursue all available remedies for fraudulent chargebacks. We encourage users to contact us first to resolve billing issues.

To request a refund, contact support@tpsworldwidellc.com with your account email and reason for the request.

10a. Subscription Auto-Renewal

All paid subscriptions (monthly and annual) automatically renew at the end of each billing cycle unless you cancel before the renewal date. By subscribing to any paid plan, you expressly acknowledge and agree to the following auto-renewal terms:

• Your subscription will automatically renew at the then-current rate for your plan at the end of each billing period (monthly or annually, depending on your selected billing cycle) until you cancel.
• You will not receive advance notification, email reminders, or any other notice before each renewal charge is processed. It is solely your responsibility to be aware of your renewal date and billing cycle.
• It is your responsibility to cancel your subscription before the next renewal date if you do not wish to be charged. Failure to cancel before the renewal date will result in an automatic charge to your payment method on file.
• You may cancel your subscription at any time through your Account settings page on the TextSpeakPro website, through the Stripe billing portal, or by contacting support at support@tpsworldwidellc.com. Cancellation takes effect at the end of the current billing cycle.
• No refunds are issued for partial billing periods after a renewal charge has been processed. Once a renewal payment is charged, it is non-refundable regardless of when you cancel during that billing period.
• By subscribing to a paid plan, you authorize TextSpeakPro (via Stripe) to charge your payment method on file at the beginning of each renewal period. You agree that this authorization remains in effect until you cancel your subscription.

Your renewal date and current billing cycle can be viewed on your Account page or through the Stripe billing portal.

11. Voice Cloning

Voice cloning is available on the Studio plan only (up to 3 clone slots per account) and is restricted to users 18 years of age or older. By using voice cloning, you represent, warrant, and agree that:

• You have full legal rights and explicit, informed consent to use the voice you submit for cloning.
• You are the owner of the voice, or you have obtained written permission from the voice owner that specifically authorizes AI voice cloning.
• You will not clone the voice of any person without their informed consent.
• You will not clone the voice of any minor under any circumstances.
• You will not use cloned voices for impersonation, fraud, harassment, deception, defamation, or any illegal purpose.
• You will not use cloned voices to create content that could reasonably be mistaken for the authentic speech of another person without clear disclosure that the content is AI-generated.
• You are solely responsible for compliance with all applicable laws, including deepfake, publicity, consent, voice likeness, and right-of-publicity laws in your jurisdiction and the jurisdiction of any person whose voice you clone.
• You will indemnify and hold harmless TPS Worldwide LLC from any and all claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from your use of voice cloning features.

Voice samples are transmitted to third-party AI providers for processing. TPS Worldwide LLC does not claim ownership of submitted voice samples but retains the right to store voice profiles on our servers for the duration of your subscription to enable repeated use. Profiles are deleted upon account deactivation or upon request.

TextSpeakPro reserves the right to remove any cloned voice and suspend or terminate accounts at any time if we believe, in our sole discretion, that they violate these Terms or applicable law. Any legal consequences arising from your use of voice cloning are your sole responsibility.

12. Studio Voice Previews

Free and anonymous users may preview up to 3 Studio-tier voices (currently Hunter, Sarah, and Benedict) a limited number of times (currently 3 previews per IP address) at no charge. Previews are provided for evaluation purposes only and are subject to the following conditions:

• Previews use short, system-selected text snippets and cannot be customized.
• Preview audio is for playback only and cannot be downloaded, saved, or used commercially.
• Preview limits are enforced per IP address using Cloudflare KV storage. IP addresses are stored solely for this purpose and are not linked to any personal information.
• The number of available preview voices, the preview limit, and the preview feature itself may change or be discontinued at any time without notice.
• Attempting to circumvent preview limits (e.g., by using VPNs, proxies, or multiple devices) is a violation of these Terms.

To access unlimited Studio voices, subscribe to the Studio plan ($15/mo).

13. Voice Changer & Audio Effects

The Voice Changer feature applies audio effects to generated speech entirely within your browser. No audio is sent to any server for effect processing. Effects are provided "as is" for creative and entertainment purposes. TextSpeakPro makes no guarantees about the quality, consistency, or availability of audio effects across browsers, devices, or over time.

14. Translate & Speak

The Translate & Speak feature translates text via Microsoft Azure Translator and then generates speech in the target language using our TTS engine. DeepL may be used as a fallback translation provider. By using this feature, you acknowledge that your text is transmitted to third-party providers for translation processing.

Translations are machine-generated, provided for convenience only, and may contain errors, omissions, or inaccuracies. TextSpeakPro is not responsible for translation errors. Do not rely on machine translation for legal, medical, financial, or safety-critical content without independent professional review. We accept no liability for any damages arising from reliance on translated content.

15. API Access & Restrictions

API access is available exclusively to Studio plan subscribers. By using the TextSpeakPro API, you agree to the following:

• API keys are personal and non-transferable. You may not share, distribute, sell, or sublicense your API key or access to any third party.
• API keys must never be shared publicly, posted in public repositories, embedded in client-side code, or shared with unauthorized third parties.
• Sharing or exposing API keys constitutes a violation of these Terms. TPS Worldwide LLC reserves the right to immediately revoke API keys and suspend accounts found sharing keys without notice.
• You may not use the API to build a competing service, resell TTS output as a service, or redistribute generated audio in bulk.
• You may not circumvent rate limits, abuse the API, or use it in any way that degrades service for other users.
• You are responsible for all usage on your API keys, including unauthorized usage resulting from failure to keep keys secure.
• If you believe a key has been compromised, you must revoke it immediately via your Account page and generate a new one.
• API key usage is subject to the same plan limits, rate limits, and acceptable use policies as web-based usage.
• API key usage is logged for security, abuse prevention, and billing purposes.
• We reserve the right to throttle, rate-limit, suspend, or revoke API access at any time, for any reason, without prior notice.

Violation of these terms may result in immediate API key revocation, account suspension or termination, and forfeiture of any remaining credits or subscription balance. No refund will be provided for accounts terminated due to API abuse or violation of these Terms.

16. Referral Program

TextSpeakPro offers a referral program that rewards users for inviting others to the platform.

How It Works:

• Each registered user receives a unique referral code that can be shared with others.
• When a new user signs up and applies your referral code, the referral is recorded.
• The referred user (referee) receives a one-time character bonus when they subscribe to a paid plan:
  • Starter plan: 5,000 bonus characters
  • Pro plan: 10,000 bonus characters
  • Studio plan: 20,000 bonus characters
• The referring user (referrer) earns tiered rewards based on the number of referred users who subscribe to a paid plan:
  • 3 converted referrals: 100,000 bonus characters
  • 5 converted referrals: 300,000 bonus characters
  • 10 converted referrals: 1,000,000 bonus characters

Referral Program Rules:

• Users may not refer themselves. Applying your own referral code is prohibited and will be rejected.
• Each user may only apply one referral code to their account.
• Only referrals who subscribe to and maintain a paid plan count toward reward thresholds. Signing up alone does not count.
• Referral rewards are non-transferable and have no cash value.
• Bonus characters are added to your account as a one-time top-up. Referrer bonus characters expire 90 days after being granted. Referee bonus characters expire 1 year after being granted.
• Bonus characters are consumed after your monthly plan allocation is exhausted.
• Referee rewards are granted once per account upon first paid subscription and are not re-granted upon resubscription.
• The referrer must have an active TextSpeakPro account at the time the referral qualifies.
• TextSpeakPro reserves the right to modify, suspend, or terminate the referral program at any time, with or without notice. No compensation or liability arises from program changes.
• Abuse of the referral program, including creating multiple accounts to generate referrals, may result in forfeiture of all rewards and account termination.

17. Sharing & Communications

TextSpeakPro provides sharing features that allow you to share links to the Service via email, SMS/text message, social media, and other channels. When you use the share feature:

• TextSpeakPro does not send messages on your behalf. Sharing opens your device's native email, SMS, or social media application.
• You are solely responsible for any messages you send using these sharing features.
• You must have the recipient's consent before sending them messages, particularly via SMS/text. Do not use sharing features to send unsolicited messages or spam.
• TextSpeakPro does not collect, store, or process any recipient contact information.
• Standard messaging and data rates from your carrier may apply when sharing via SMS/text.

18. Blog & Content

Blog articles at /blog/ are provided for informational and educational purposes only. Content may include opinions, estimates, and general guidance that should not be construed as professional, financial, legal, or medical advice. TextSpeakPro is not liable for decisions made based on blog content.

All blog content is the intellectual property of TPS Worldwide LLC. You may share links to articles but may not reproduce, republish, or redistribute article content without written permission.

19. User-Generated Audio, Content Responsibility & Intellectual Property

You retain all rights to audio you generate using TextSpeakPro, including the right to use generated audio for commercial purposes. You are solely and entirely responsible for ensuring that your use of the Service and all content you generate complies with all applicable laws and regulations, including but not limited to copyright, defamation, privacy, publicity, impersonation, deepfake, and consumer protection laws in all applicable jurisdictions.

You represent and warrant that:

• All text you submit for speech generation is either your original content or content you have the legal right to use.
• You will not use the Service to generate content that is illegal, hateful, threatening, harassing, defamatory, obscene, fraudulent, or otherwise objectionable.
• You will not use the Service to infringe upon the intellectual property rights of any third party.
• You will not use generated audio to impersonate real individuals without their explicit written consent.
• You will not use the Service to generate content that violates any applicable law or regulation.
• You accept full legal responsibility for all content generated through your use of the Service.

Generated audio may be stored temporarily on our servers for the purpose of delivering the Service. Long-term storage is only provided when you explicitly save audio. Audio files that you do not explicitly save may be automatically deleted after a reasonable retention period without notice.

The TextSpeakPro name, logo, and website design remain our property.

20. Commercial Use & Voice Likeness

Free plan users are granted a limited, non-commercial, personal-use license to audio generated through the Service. Audio generated on the Free plan may not be used for any commercial purpose, including but not limited to: YouTube videos, podcasts, courses, audiobooks, advertisements, presentations, products, or services offered for sale. Commercial use of generated audio requires an active paid subscription (Starter plan or above).

Paid plan subscribers (Starter, Pro, and Studio) are granted a commercial use license for audio generated through the Service, subject to all other terms and conditions herein.

Any audio generated on the Free plan that is used for commercial purposes without an active paid subscription constitutes a violation of these Terms and may result in immediate account termination.

AI-generated voices are synthetic and do not carry voice likeness rights. We make no guarantees regarding the uniqueness, exclusivity, or distinctiveness of any synthetic voice. Multiple users may generate audio using the same voices.

You must not use generated audio to impersonate real individuals without their explicit consent, or for any purpose that would violate applicable impersonation, fraud, or deepfake laws. TPS Worldwide LLC accepts no liability for any claims arising from your commercial use of generated audio.

21. Acceptable Use

You agree not to:

• Use the Service to generate hate speech, racial slurs, threats of violence, terrorist content, harassment, or bullying.
• Use the Service to generate sexually explicit content involving minors.
• Use the Service to impersonate real people without their explicit consent.
• Use the Service to generate fraud, phishing, scam scripts, or other deceptive content intended to mislead, exploit, or steal.
• Use the Service to generate any content that violates applicable local, state, national, or international law.
• Attempt to bypass, circumvent, or manipulate usage limits, rate limits, or billing mechanisms.
• Abuse the API or use it in any way that degrades service for other users.
• Impersonate others using voice cloning or generated audio without their consent.
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service or underlying AI models.
• Redistribute, resell, or sublicense access to the Service or its output as a competing service.
• Use automated bots, scripts, scrapers, or other automated means to create accounts, bypass limits, or abuse the Service.
• Upload or clone voices you do not have full legal rights and consent to use.
• Attempt to gain unauthorized access to any part of the Service, its servers, or any connected systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Collect or harvest any information from the Service or its users without authorization.

TextSpeakPro reserves the right to suspend or terminate any account found generating prohibited content, with or without notice. Violation of this acceptable use policy may result in immediate account suspension or termination without refund.

22. Local Storage & Browser Data

TextSpeakPro may store preferences, anonymous usage identifiers, session data, and referral tracking information in your browser's local storage and cookies. This data is used for service functionality, usage metering, and user experience purposes, not for cross-site tracking.

You can clear this data at any time through your browser settings. Clearing local storage will reset your anonymous usage identifier, which may reset your free-tier usage counter.

23. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TPS WORLDWIDE LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE; ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, VIRUS-FREE, OR AVAILABLE AT ANY PARTICULAR TIME; ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, QUALITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, DATA, OR AUDIO GENERATED THROUGH THE SERVICE; ANY WARRANTY REGARDING THE QUALITY, NATURALNESS, ACCURACY, OR CONSISTENCY OF AI-GENERATED VOICES, TRANSLATIONS, OR AUDIO EFFECTS; ANY WARRANTY THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.

YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM TPS WORLDWIDE LLC OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TPS WORLDWIDE LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR: ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, REVENUE, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES; ANY DAMAGES ARISING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) SERVICE INTERRUPTIONS, DOWNTIME, OR UNAVAILABILITY; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS; (D) ACTIONS OR CONTENT OF ANY THIRD PARTY ON OR RELATED TO THE SERVICE; (E) VOICE QUALITY ISSUES, AUDIO ARTIFACTS, OR PRONUNCIATION ERRORS; (F) THIRD-PARTY PROVIDER OUTAGES OR CHANGES; (G) LOSS OR CORRUPTION OF AUDIO FILES; (H) TRANSLATION ERRORS OR INACCURACIES; (I) ANY CONTENT GENERATED THROUGH THE SERVICE.

REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF TPS WORLDWIDE LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE LESSER OF: (A) THE AMOUNTS YOU HAVE ACTUALLY PAID TO TPS WORLDWIDE LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

25. Indemnification

You agree to indemnify, defend, and hold harmless TPS Worldwide LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: your use of the Service or any content you generate through the Service; your violation of these Terms or any applicable law; your violation of any rights of any third party, including intellectual property, privacy, publicity, or contractual rights; your use of voice cloning features, including any claim that you lacked proper consent or authorization; any content you create, distribute, or publish using the Service; any claim by a third party related to audio you generated using the Service; your use of the API, including any unauthorized or excessive use; any fraudulent, abusive, or illegal activity conducted through your account.

This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service.

26. Account Suspension and Termination

TextSpeakPro reserves the right to suspend or terminate any account at any time, for any reason, with or without notice, in our sole discretion. Reasons for termination may include but are not limited to:

• Violation of these Terms of Service
• Abuse of the referral program
• API misuse or unauthorized redistribution
• Creating multiple accounts to circumvent usage limits
• Filing chargebacks or payment disputes without first contacting support
• Any activity deemed harmful to the platform, its users, or third parties

No refund will be provided for accounts terminated for cause. Any unused characters, top-ups, referral bonuses, or remaining subscription balance will be forfeited upon termination.

You may deactivate your account at any time through your account settings. Deactivation cancels active subscriptions, revokes API keys, and disables login. Account data is retained for a minimum of 90 days for security, abuse prevention, and legal compliance purposes. Permanent data deletion may be requested by contacting support@tpsworldwidellc.com and is subject to review. TextSpeakPro reserves the right to retain data as required by law or as necessary for fraud prevention and enforcement of these Terms.

27. Dispute Resolution & Governing Law

Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law principles.

Informal Resolution: Before filing any formal legal action, you agree to first contact us at support@tpsworldwidellc.com and attempt to resolve the dispute informally for at least thirty (30) days. Most disputes can be resolved this way.

Binding Arbitration: If the dispute is not resolved informally, you and TPS Worldwide LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in Maricopa County, Arizona, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: YOU AND TPS WORLDWIDE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Small Claims Exception: Either party may bring an individual action in small claims court if the claim qualifies.

Opt-Out: You may opt out of the arbitration and class action waiver provisions by sending written notice to support@tpsworldwidellc.com within 30 days of first accepting these Terms. Your notice must include your name, account email, and a clear statement that you wish to opt out of arbitration.

28. Force Majeure

TPS Worldwide LLC shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government actions or regulations, embargoes, sanctions, labor disputes, power outages, internet or telecommunications failures, third-party service provider outages (including but not limited to cloud hosting, AI providers, payment processors, and DNS providers), cyberattacks, DDoS attacks, hardware or software failures, or any other event beyond our reasonable control. During any such event, our obligations under these Terms are suspended for the duration of the event.

29. Modifications to Service and Terms

We reserve the right to modify, suspend, or discontinue any part or all of the Service at any time, temporarily or permanently, with or without notice, for any reason. This includes the right to add, change, or remove features, voices, languages, plans, pricing, and any other aspect of the Service. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may update these Terms at any time. Material changes will be noted with a new "Last updated" date at the top of this page. Your continued use of the Service after changes constitutes acceptance of the revised Terms. If you do not agree with the revised Terms, your sole remedy is to discontinue use of the Service.

30. Electronic Communications

By creating an account or using the Service, you consent to receiving electronic communications from us, including emails related to your account, transactional notifications, service updates, and referral program notifications. These electronic communications satisfy any legal requirement that communications be in writing.

31. International Use

The Service is operated from the United States. If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with all applicable local laws. We make no representation that the Service is appropriate or available for use in any particular location. We do not guarantee that all features, voices, or languages will be available in all regions.

32. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations. You represent that you are not located in, or a citizen or resident of, any country subject to U.S. trade sanctions, and that you are not listed on any U.S. government list of prohibited or restricted parties.

33. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Disclosures, and DMCA Policy, constitute the entire agreement between you and TPS Worldwide LLC regarding the Service, and supersede all prior agreements, representations, and understandings.

34. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

35. Waiver

The failure of TPS Worldwide LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by TPS Worldwide LLC.

36. Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without our prior written consent. TPS Worldwide LLC may assign or transfer these Terms, in whole or in part, at any time without notice or consent.
